1. The primary benefit of perpetual existence, sometimes to referred to as "perpetual succession," for a corporation is that shareholders and investors know that the company will not simply disappear due to unforeseen circumstances. This makes them more comfortable investing their money, which the corporation often relies upon to spur its growth in the first place. Related: Why Investors Prefer Delaware Corporations Another benefit, depending on your point of view, is that, when coupled with a corporate board’s fiduciary duty to act in the best interest of its shareholders, the corporation is obliged to operate with a long-term strategy for growth. It’s nearly impossible for a business to succeed over a sustained period without a sound long-term strategy, so prioritizing that focus is generally in the interest of the shareholders. Frequently Asked Questions

What are corporate bylaws and why are they important?

What are Corporate Bylaws? Corporate bylaws, also called company bylaws or just bylaws, are a set of instructions for how a corporation is run. Written by a company’s board of directors as one of its first duties, bylaws outline the operational procedures of those directly involved with the corporation.

Do i need to submit my corporate bylaws to the state?

On the other hand, even though you are not required to submit your corporate bylaws to the state, your corporation may not legally exist until its board of directors has formally adopted bylaws, or has addressed how the company will be run. Your statement of purpose should reflect every facet of your corporation and its particular niche.

What is the difference between articles of incorporation and bylaws?

In short, corporate bylaws are the internal operating manual for a corporation. Unlike the articles of incorporation, which are public and must be filed with the secretary of state, your corporation’s bylaws is a private, internal document that does not have to be filed with the state or any government entity.

Do corporate bylaws have to address california incorporation standards?

However, bylaws do have to address incorporation standards mandated by the state, such as the number of board directors or how bylaws can be amended. For example, California has no strict specification for what has to be written in corporate bylaws.
